RWC Alumni Association By-Laws

Reimbursement rules/regulations, revised by RWC Alumni Board of Directors on October 20, 2008, and approved by membership at December 06, 2008 general meeting.

  • Article 1 (Name)

Section A. The name of this organization shall be "Riverside-White Cross Alumni Association."

Section B. Riverside-White Cross Alumni (herein after the "Association") is an independent, self-governing organization with its own membership, governing board, officers and by-laws, and is an auxiliary of Riverside Methodist Hospital ("RMH").

  • Article 2 (Purposes)

Section A. The purposes of the Association are to promote:

  1. Improvement of professional nursing or RMH Services;

  2. Good fellowship among the graduates of Riverside-White Cross;

  3. The advancement of the professional interests of the Riverside-White Cross School Alumni Association and,

  4. Provide Nursing scholarships for deserving active members of the Association and their family members.

  • Article 3 (Membership)

Section A. Any nurse holding a diploma from the Columbus Training School for Nurses, the Protestant Hospital Training School, the White-Cross Hospital School of Nursing, the Riverside White-Cross School of Nursing, the Riverside Methodist School of Nursing, or the Riverside College of Nursing at Ohio Wesleyan is eligible for membership.

Section B. Active members shall pay annual dues set by the Association. Membership is automatically forfeited by failure to pay dues as required by the By-Laws. Membership also may be forfeited by conduct deemed unworthy of a member of the profession as determined by the Governing Board. Expulsion for such unworthy conduct shall be upon the vote of 2/3’s of the full membership of the Governing Board but only after a hearing at which the member shall be given an opportunity to present her/his side of the issue. Notice of a hearing shall be mailed to the member, addressed to her/his last known address, at least 6 days before this hearing, and shall outline the reasons for which the hearing is being held.

Section C. Honorary membership may be conferred upon persons who have rendered service to the Association or upon any individual whom the Association wishes to honor. Honorary membership may be conferred upon recommendation by the Governing Board followed by a regular meeting. Not more than 2 persons shall be so honored during any one fiscal year. Honorary members are excused from dues and other requirements, and shall have voice but no vote at all meetings.

Section D. Life membership will be granted to fifty-year graduates of the programs enumerated in Section A. Life members shall be granted all privileges of an active member, but are excused from dues and other requirements.

  • Article 4 (Governing Board)

Section A. The affairs of the Association shall be conducted by the Governing Board, except for the election of the officers.

Section B. The Governing Board shall consist of the following: Immediate Past-President, President, Vice-President, Recording Correspondence Secretary, Membership Secretary, Treasurer, Newsletter and Website Secretary and three elected Board Trustees. In addition, the Senior Operating Officer of RMH or designee, and the Chief Nursing Executive will be non-voting ex-officio members of the Governing Board.

Section C. The elected term of office shall be two years (even years). The three Board members shall be elected at the annual meeting. Election shall be by voice vote unless otherwise decided by a majority vote of the members.

Section D. Vacancies in office during the term shall be filled as follows:

  1. A vacancy in the office of the President shall be filled by the Vice President for the balance of the term of office.

  2. Any other vacancy of office, which may occur during the year, shall be filled by a majority of the Governing Board. That person shall serve for the balance of the term.

Section E. The Governing Board shall not incur liabilities to exceed $500.00 per financial transaction without the approval of the Association.

Section F. Meetings of the Governing Board shall be called by the President or any three members of the Board.

  • Article 5 (Meetings)

Section A. The Annual Meeting of the Association shall be held in May of each year. The Governing Board shall send written notice of the Annual Meeting to all members at least 30 days in advance.

Section B. Special meetings of the entire membership may be called by the President, at the discretion of the Governing Board, or by written request of any twenty-five members of the Association. Not fewer than four meetings shall be held per year.

Section C. At meetings of the general membership, a quorum shall consist of 3 officers and 8 members. At meetings of the Governing Board, a quorum shall consist of 5 members excluding ex-officio members. At no time shall the lack of a quorum prevent those present from proceeding with the program.

Section D. Meetings of the membership and of the Governing Board shall be conducted in accordance with Roberts Rules of Order, newly revised.

  • Article 6 (Projects)

Section A. To avoid conflict with the money-raising procedures of the OhioHealth Board of Directors, OhioHealth Foundation at Riverside and active service members, all proposed projects and publicity shall be submitted to the Governing Board for approval.

Section B. No member shall have the authority to create obligations or incur indebtedness for or on account of Riverside Methodist Hospitals.

Section C. All publicity shall be submitted for prior approval with Riverside-White Cross Alumni Association's Governing Board.

Section D. Members shall not conduct door-to-door or street corner solicitations nor distribute handbills, except by postal and electronic mail. Requests for special considerations may be made to the Governing Board.

  • Article 7 (Officers)

Section A. The officers of the Association shall be the President, Vice-President, Membership Secretary, Recording Correspondence Secretary, Treasurer, and Newsletter and Website Secretary.

Section B. All the officers shall be elected at the annual meeting to a biennial term in office (on even years).

  • Article 8 (Duties of Officers)

Section A. The duties of all officers shall be such as are specified in these By-Laws.

Section B. The President shall preside at all meetings of the Association and the Governing Board, serve as ex-officio member of all committees except the committee on Nominations, and appoint any committees, which she deems necessary subject with the approval of the Governing Board.

Section C. The Vice-President shall perform the duties of the President in her absence, become the President in case a vacancy occurs in that office, and serve as chairman of the Program Committee.

Section D. The Membership Secretary shall collect all dues, keep an accurate classified list of the membership of the Association with the address of each member and shall also send a newsletter to all active and honorary members of the Association prior to each meeting.

Section E. The Recording Correspondence Secretary shall record the minutes of all meetings of the Association and the governing Board, and conduct the correspondence of the Association.

Section F. The Treasurer shall collect all money from the Membership Secretary, pay bills upon warrants signed by the President and Recording Correspondence Secretary, and keep an accurate itemized record of all money received and expended. The treasurer shall deposit the funds of the Association in a bank designated by the Governing Board. She shall arrange for bondage of the Membership Secretary and Treasurer by an agency approved by the Governing Board. The books in which the record of money received and expended will be kept together with the warrants and vouchers, and the monthly reports of the Treasurer shall be ready for audit biennially.

Section G. The Newsletter and Website Secretary shall collate all correspondence from the members and the Board and prepare the newsletter and maintain the web page.

Section H. All officers and chairmen of the committees, upon retiring from office, shall deliver to their successor all monies, accounts, record books, papers, or other property belonging to the Association.

  • Article 9 (Election of Officers)

Section A. The Nominating Committee shall consist of three (3) members. These members shall be appointed by the President from the general membership at the December meeting for elections the following year in May. The Nominating Committee shall present to the Annual Meeting a single slate of candidates for election.

Section B. The election of officers shall be held at the Annual Meeting where additional nominations shall be taken from the floor (with prior approval of the nominee).

Section C. Officers are elected by a simple majority vote of those voting members present.

Section D. Officers shall assume their duties immediately following election.

  • Article 10 (Committees)

Section A. Committees shall be appointed by the President as necessary.

  • Article 11 (Amendments)

Section A. At least once every four (4) years, the President shall appoint a By-Laws Committee to review these By-Laws to determine if amendments are necessary or desirable.

Section B. The By-Laws Committee shall present its recommendation(s) to the Governing Board. The Governing Board shall approve or disapprove any proposed amendment to these By-Laws.

Section C. Any proposed amendment approved by the governing Board shall be presented to the general membership for approval. Written notice of a proposed amendment shall be provided to the general membership at least one (1) month prior to any meeting, scheduled or special, at which the proposed amendment shall be presented.

Section D. A proposed amendment shall be deemed approved by the general membership upon a simple majority vote of those present and voting.

  • Article 12 (Miscellaneous)

Section A. The membership year shall run according to the calendar year.

  • Article 13 (Dissolution)

Section A. The Association may be dissolved by the affirmative vote of a majority of the membership at any regular or special meeting of the general membership where there is a quorum in conformance with Article 5, Section C of these By-Laws.

Section B. Upon dissolution of the Association, any Association assets remaining, after the discharge of its liabilities and debts, shall be given to the OhioHealth Foundation at Riverside for nursing related programs or projects in keeping with the Riverside-White Cross tradition, or wherever the members deem appropriate.

Section C. The Officers and Governing Board of the Association are authorized and empowered to perform such acts and execute such documents as are necessary to effectuate the dissolution as soon as practical.
